Terms of Service

Last updated: October 2, 2026

1. Acceptance of Terms

By purchasing, subscribing to, or using Valor Promotions (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not purchase or use the Service. If you use the Service on behalf of a business, you confirm that you are authorized to bind it.

2. The Service

Valor Promotions is a CRM with AI-assisted messaging. We offer two plans, and your order states which one you have:

Both plans are hosted by us. We do not deliver the source code to either plan. Sections that apply to only one plan say so.

3. Fees, Payment & Renewal

The prices and payment terms for your plan are stated in your order or in your written agreement with us. In general:

Recurring fees are billed in advance for each billing period and renew automatically until you cancel. You authorize us to charge the payment method you provide for each renewal. We may change a recurring price on at least 30 days’ written notice, effective from your next billing period; if you do not accept the change you may cancel before it takes effect. Fees exclude taxes, which we will add where required. If a payment fails we may retry it and, if it remains unpaid, suspend the Service under Section 11.

4. Cancellation & Refunds

Recurring fees. You may cancel at any time by contacting support. Cancellation takes effect at the end of the billing period you have already paid for, and you keep access until then. We do not refund any part of a billing period that has already been paid for.

One-time fees (the Operator license fee and the Command setup fee). These cover work we begin when you order, such as configuring your account or instance, provisioning your line, and preparing carrier and messaging registrations, some of which carry third-party fees we cannot recover. Once that work has started, these fees are non-refundable. If you cancel before we have begun substantial setup work, we will refund the portion attributable to work not yet performed, less any third-party costs we have already incurred on your behalf. On request, we will tell you where setup stands.

Nothing in this section limits any right you have under applicable law that cannot be waived.

5. Chargebacks & Payment Disputes

If you have any concern about a charge, a billing issue, or the Service itself, you agree to contact our support and make a good-faith effort to resolve the matter first, before initiating any chargeback, payment dispute, or reversal with your bank or card issuer. Most issues can be resolved quickly through support.

If a chargeback, payment dispute, or reversal is filed against us without that attempt, or is later found to be unjustified, we may suspend or terminate your account and your access to the Service. These remedies are in addition to any other remedies available to us, including recovering the disputed amount together with any associated fees and costs.

6. Right to Use, Restrictions & White-Label Use

What you get. We grant you a limited, non-exclusive, non-transferable, revocable right to use the hosted Service for your own business for as long as your account is active. You receive no license to the source code and no right to a copy of it. We own the Service and everything underlying it. You own your content and your customer data (see Section 9).

White-label use for your clients. You may present the Service under your own brand and give your own end clients access to it, and you may charge them for your services that use it. Their access is limited to their own workspace within your instance and is for their own business.

What you may not do. You may not, and may not allow anyone else to:

A breach of this section is grounds for immediate suspension or termination.

7. Updates & Maintenance

We maintain and update the hosted Service and your instance, and updates are included in your plan. We may change, add, or remove features, and will give reasonable notice of a change that materially reduces the Service. We make no guarantee as to the frequency, scope, or timing of updates, and nothing in these Terms obligates us to develop or release any particular feature or fix.

8. Your Responsibilities

You are responsible for how you use the Service, including that:

Operator Tier. You are also responsible for your accounts and API keys with third-party providers (including their terms, fees, and your compliance with their rules and with carrier registration), for keeping those keys valid, and for telling us promptly if a key is compromised. You give us the keys so that we can run the Service for you; we store them in a restricted, server-only credential store and use them only to operate your instance.

Command Tier. You are responsible for the accuracy of the information you give us for provisioning and registration (for example, business details submitted to carriers). We may suspend a messaging line that a carrier or provider suspends or that is used in breach of these Terms.

You are responsible for complying with all laws applicable to your use, including data-protection, electronic-communications, and consumer-protection laws in the jurisdictions where you and your customers are located.

9. Your Data

We store and process your contacts, messages, and related content on your behalf, to provide the Service. For the Operator Tier your data is kept in a dedicated instance; for the Command Tier it is kept on our shared platform with separation between customers. You remain responsible for the lawfulness of the data you put in. We use it only to provide and secure the Service, as described in our Privacy Policy. You may ask us to export or delete your data, subject to applicable law and a reasonable retention period for backups and legal obligations.

Health information. The standard Service is not designed for, and you may not use it to store or transmit, protected health information. We do not represent that the standard Service is HIPAA compliant. If you operate in a regulated health setting, please contact us: we handle those customers case by case, on technology and under a separate written agreement that we put in place for that purpose, and only once that agreement is signed. You are responsible for not entering health information about individuals into the standard Service.

10. Third-Party Services

The Service depends on third-party providers, including services for messaging and telephony, email, AI, hosting, authentication and database, and payments. Each provider is governed by its own terms, pricing, and availability, over which we have no control. We are not responsible for a third-party service’s cost, performance, downtime, suspension, or discontinuation, and the Service may have reduced functionality if a provider is unavailable. For the Operator Tier, the messaging, email, and AI accounts are yours; for the Command Tier, we select and manage them and may change providers. We do not guarantee any particular provider or uninterrupted availability.

11. Suspension & Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other customers, or third parties, or that breaches a carrier or provider rule. Where practical we will give notice first. You may terminate at any time; for recurring fees, by cancelling under Section 4.

If an Operator cancels or stops paying the hosting fee, we will give reasonable notice before suspending the instance, and we will make your data available for export for a reasonable period (generally 30 days) before deleting it, except where we must keep it by law. We will also delete your stored provider keys. The source code is not provided on termination. Sections that by their nature should survive termination (including payment, restrictions, liability, and disputes) do.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fit for your particular use case, that AI output will be accurate, or that any message will be delivered.

13. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your purchase or use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid us for the Service in the twelve months before the claim arose.

14. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new “Last updated” date and, for material changes affecting a paid account, give you at least 30 days’ notice before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in North Carolina, and you consent to their jurisdiction.
